should also know the following facts about a registered agent in Maryland:
"registered
agent," "statutory agent" and "resident agent"
are three names for the same thing: an agent authorized by a company
to receive documents and notices. (Since the three terms all refer
to a Resident
of the state acting as an AGENT,
we have coined the term "ragent" to include them
all). Maryland, however, threw us a curve by using the additional
term "clerk." It all means the same thing.
Your Maryland registered
agent must be either (1) a domestic company formed under Maryland
corporate law (2) a foreign corporation authorized to transact business
in Maryland or (3) an adult individual who resides in Maryland. Because
neither an LLC (limited liability company) formed under Maryland law
nor a foreign LLC is specifically mentioned as eligible to be a registered
agent, an inquiry to the Maryland State Department of Assessments
and Taxation(SDAT) office is recommended if your agent is a limited
liability company. The SDAT in Maryland has responsibility for corporate
regulation as does the secretary of state in most other states. We
do not recommend an amateur for this responsibility.

to note that a Maryland resident agent must have a Maryland street
address rather than a post office box and that the registered
agent must sign a consent to be resident agent and file it

agent with SDAT, the Maryland agency charged with regulation of companies.
